Vendor Agreement

1. Introduction

This Vendor Agreement (“Agreement”) governs the relationship between BuildPartnersHub (“we”, “our”, “us”, or the “Platform”) and any individual, company, manufacturer, exporter, supplier, contractor, or service provider (“Vendor”, “you”, “your”) who lists products or services on www.buildpartnershub.com.

BuildPartnersHub is a global online directory and business networking platform that connects Vendors with potential Buyers, Contractors, Developers, Importers, and other commercial entities worldwide. The Platform is designed to enhance visibility, generate business leads, and facilitate communication between parties in the construction, real estate, engineering, and building materials sectors.

By registering, creating a profile, or listing any product or service on the Platform, you agree to comply with this Vendor Agreement, along with our Terms and Conditions, Privacy Policy, and other related policies.

2. Role of BuildPartnersHub

BuildPartnersHub acts strictly as a digital intermediary and listing platform. We do not:

• Buy or sell goods or services
• Negotiate contracts between parties
• Handle payments or escrow services
• Guarantee transactions or outcomes
• Inspect, verify, or certify products or vendors
• Control shipping, logistics, or customs clearance

All transactions are conducted directly between Vendors and Buyers without involvement from BuildPartnersHub.

3. Vendor Eligibility

To list on BuildPartnersHub, Vendors must:

• Be legally registered in their country of operation
• Be at least 18 years old or legally authorized representatives of a company
• Provide accurate and verifiable business information
• Comply with all applicable trade, export, and import laws
• Ensure that all listed products and services are lawful

We reserve the right to approve, reject, or remove any Vendor account at our sole discretion.

4. Vendor Responsibilities

Vendors agree to:

Ensure that all listings are truthful, complete, and not misleading. This includes:

• Product descriptions
• Pricing information
• Certifications
• Images and specifications

4.2 Legal Compliance

Comply with:

• International trade regulations
• Export/import restrictions
• Intellectual property laws
• Product safety and quality standards

4.3 Ethical Business Conduct

Vendors must:

• Respond to inquiries in a timely manner
• Maintain professional communication
• Avoid spam or aggressive marketing
• Refrain from fraudulent or deceptive practices

4.4 Content Ownership

You confirm that:

• You own or have rights to all uploaded content
• Content does not infringe on third-party rights
• You indemnify BuildPartnersHub against any claims arising from your content

5. Listings and Content Control

Vendors may upload:

• Company profiles
• Product catalogs
• Service descriptions
• Certifications and documents
• Images and videos

However, BuildPartnersHub reserves the right to:

• Review and approve listings before publication
• Edit or remove content that violates policies
• Reclassify or reorganize listings for accuracy
• Suspend listings that receive complaints or appear suspicious

We are not responsible for errors in vendor-submitted content.

6. Caution on Online Purchases (Important Notice)

BuildPartnersHub strongly advises all Users, including Buyers and Vendors, to exercise extreme caution when conducting online business transactions.

The Platform does not verify or guarantee:

• Buyer legitimacy or financial capacity
• Vendor credibility beyond listing information
• Product authenticity or quality
• Payment completion or security
• Delivery, shipping, or logistics outcomes
• Customs clearance or import compliance

Key Risks Users Must Be Aware Of:

• Fraudulent buyers or sellers may exist online
• International trade carries legal and financial risks
• Currency fluctuations may affect transactions
• Shipping delays or losses may occur
• Miscommunication may lead to disputes

User Responsibility

All parties are solely responsible for:

• Verifying identities before transactions
• Conducting due diligence
• Using secure payment methods
• Signing formal contracts when necessary
• Insuring shipments and goods

BuildPartnersHub is not liable for any financial loss, fraud, or disputes arising from interactions between Users.

7. Fees and Paid Services

The Platform may offer both free and paid services, including:

• Premium Vendor Listings
• Featured placement in categories
• Advertisement banners
• Lead generation boosts
• Verified business badges

All fees:

• Are clearly displayed before purchase
• Are non-refundable unless otherwise stated
• May be changed with prior notice
• Do not guarantee sales or inquiries

Failure to pay may result in suspension or removal of listings.

8. Prohibited Activities

Vendors must not:

• Post counterfeit or illegal products
• Misrepresent business identity or ownership
• Manipulate reviews or ratings
• Upload harmful, offensive, or fraudulent content
• Use the Platform for money laundering or scams
• Engage in unauthorized data scraping or harvesting
• Violate intellectual property rights

Violation may result in immediate account termination and legal action.

9. Intellectual Property

Vendors retain ownership of their submitted content but grant BuildPartnersHub a worldwide, non-exclusive license to:

• Display content on the Platform
• Promote listings across marketing channels
• Reproduce content for promotional purposes

Vendors may not use BuildPartnersHub branding, trademarks, or content without written permission.

10. Limitation of Liability

BuildPartnersHub is not liable for:

• Loss of revenue, profits, or business opportunities
• Fraud or misconduct by other Users
• Product defects or misrepresentation
• Delivery failures or delays
• Technical interruptions or downtime
• Financial losses from transactions

All use of the Platform is at the Vendor’s own risk.

11. Suspension and Termination

We may suspend or terminate Vendor accounts if:

• False or misleading information is provided
• Policies are violated
• Fraudulent activity is suspected
• Repeated complaints are received
• Legal compliance issues arise

Termination may occur without prior notice.

12. Data Use

Vendor data is handled according to our Privacy Policy. By using the Platform, Vendors consent to data collection and processing for operational and marketing purposes.

13. Amendments

BuildPartnersHub may update this Agreement at any time. Continued use of the Platform constitutes acceptance of changes.

14. Governing Law

This Agreement is governed by applicable international e-commerce and commercial laws. Disputes shall first be resolved amicably before legal escalation.
